Terms of Service

These terms govern your purchase and use of ARK software. We've tried to keep them in plain English. If anything is unclear, email support@arkteams.io and we'll explain.
1. Agreement
These Terms of Service (the “Terms”) are a binding agreement between you (“you,” “the buyer,” or “your organization”) and ARK Teams (“ARK,” “we,” or “us”) covering your purchase and use of ARK software products (each a “Product”) and the services we provide around them.
By completing a purchase, creating an account, or using any Product, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind that company.
2. License grant
Subject to your compliance with these Terms, ARK grants you a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable license to use, modify, and deploy the Product’s source code for the internal business purposes of the organization that purchased it.
“Perpetual” means the license does not expire. Even if you cancel your subscription or stop receiving updates, your license to use and deploy the version you have continues.
3. Restrictions
You agree that you will not:
- Resell, rent, lease, lend, or redistribute the Product or any portion of its source code to any third party.
- Sublicense the Product, or make it available to third parties as a hosted product, SaaS offering, white-label service, or similar.
- Publish, open-source, post publicly, or otherwise disclose the source code outside your organization.
- Remove, obscure, or alter any copyright, license, or attribution notices.
- Use the Product to build or train a substantially similar product to sell or distribute in competition with ARK.
You may share the source with contractors, employees, and advisors who need access to build or maintain your deployment, provided they are bound by confidentiality terms at least as protective as these.
4. Ownership
ARK retains all intellectual property rights in the Product, including the underlying source code, design, documentation, and branding. The license granted in Section 2 does not transfer ownership.
You own any modifications, extensions, or configurations that you create on top of the Product (“Your Modifications”) to the extent they are separable from the underlying code. Your Modifications remain subject to these Terms when combined with the Product.
5. License keys and deployment binding
Each purchase entitles you to one license key per Product, for one deployment. On first validation, the key is bound to the primary domain of that deployment.
If you need to run the Product for multiple separate organizations, business units, or unrelated customer environments, you need a license per deployment. Contact us for multi-license pricing.
Sharing your license key or deliberately circumventing its validation is a material breach of these Terms. We may revoke keys that we reasonably believe are being shared, resold, or used outside the authorized deployment.
6. Compliance verification
ARK may periodically verify that your deployment is in compliance by checking license-key validation records, domain bindings, and fingerprint markers embedded in purchased code. We do not read your business data or inspect your servers beyond what the license validation endpoint returns.
7. Code fingerprinting
Each copy of the Product contains unique identifiers (“fingerprint markers”) derived from your buyer ID. These markers allow us to trace a specific copy of the code back to its original purchaser. They are deliberately unobtrusive and do not affect runtime behavior.
Removing, obfuscating, or tampering with these markers is a violation of these Terms. You are welcome to modify any other part of the code as you see fit.
8. Subscriptions
Our optional subscription plans provide ongoing updates, priority support, training, and early access to new products. Subscriptions are billed in advance on a monthly or annual cadence and auto-renew until cancelled.
You can cancel at any time through the Stripe Customer Portal. When you cancel, the subscription remains active until the end of the current billing period and does not renew. Your perpetual license and access to code already delivered are not affected by cancellation.
9. Updates
Every purchase includes three (3) months of updates from the date of purchase. After that window, updates require an active subscription.
Updates are delivered as pull requests to your private GitHub repo. We do not guarantee a specific update cadence or that any particular feature will be shipped on any schedule. Whether to merge an update is always your decision.
10. Support
Email support is available to all buyers during the three-month update window and while a subscription is active. We aim to respond within two business days.
Support covers the Product as shipped: installation, configuration, and bug reports. It does not cover bespoke feature development, code review of your customizations, or help with third-party services (Supabase, Vercel, Stripe, etc.) beyond our standard integration.
11. Third-party services
The Product integrates with third-party services you provide or arrange, including hosting, database, payment processing, and email providers. You are responsible for your accounts with those services, their fees, and compliance with their terms.
12. Disclaimer of warranties
The Product is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. ARK disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
You are responsible for evaluating whether the Product meets your organization’s needs, for deploying it securely, and for maintaining your own backups.
13. Limitation of liability
To the maximum extent permitted by law, ARK’s total aggregate liability under these Terms will not exceed the amount you paid to ARK in the twelve (12) months preceding the event giving rise to the claim. In no event will ARK be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, even if advised of the possibility.
14. Indemnification
You will indemnify and hold ARK harmless from any third-party claims arising from Your Modifications, your deployment of the Product, or your use of the Product in violation of these Terms.
15. Termination
ARK may suspend or terminate your license if you materially breach these Terms and fail to cure the breach within thirty (30) days of written notice (for example, by revoking your license key or removing your GitHub repository access).
On termination for breach, your right to receive updates, support, and license-key validation ends. You keep any copy of the code you already have, but you may not continue to deploy it in violation of these Terms.
16. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will notify buyers by email and update the “Last updated” date above. The updated Terms take effect for new purchases immediately and for existing buyers thirty (30) days after notice.
17. Governing law and disputes
These Terms are governed by the laws of the State of Indiana, United States, without regard to its conflict of laws rules. The state and federal courts located in Indiana will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and both parties consent to venue in those courts.
